Public Offer Agreement

1. General Provisions

1.1. This Public Offer Agreement (hereinafter referred to as the “Agreement”) constitutes an official offer by sole proprietor Mykola Viktorovych Melnyk (hereinafter referred to as the “Seller”) to enter into a distance sales agreement for goods through the Ultralight Alternatives online store available at https://ultralightalternatives.com.

1.2. This Agreement has been concluded in accordance with the provisions of the Civil Code of Ukraine, the Law of Ukraine “On Electronic Commerce,” the Law of Ukraine “On Consumer Protection,” and other applicable laws and regulations of Ukraine.

1.3. Placing an order on the website, clicking the order confirmation button and/or making payment constitutes the Buyer’s full and unconditional acceptance of the terms of this Agreement.

1.4. Before accepting this Agreement, the Buyer confirms that they have reviewed its terms, as well as the information provided on the “Payment and Delivery,” “Returns,” and “Privacy Policy” pages, which form an integral part of this Agreement.

1.5. The Seller reserves the right to amend this Agreement without prior notice. A new version becomes effective from the moment it is published on the website and applies to orders placed after the date of publication.

2. Terms and Definitions

For the purposes of this Agreement, the following terms shall have the meanings set out below:

Seller — sole proprietor Mykola Viktorovych Melnyk, who sells goods through the Ultralight Alternatives online store.

Buyer — an individual, legal entity, or sole proprietor who has placed an order on the website and accepted the terms of this Agreement.

Online Store — the website https://ultralightalternatives.com through which goods are sold.

Goods — products offered for sale through the Online Store.

Order — a duly completed request by the Buyer to purchase one or more Goods through the Online Store.

Acceptance — the Buyer’s full and unconditional acceptance of the terms of this Agreement by placing an Order and/or making payment.

3. Subject of the Agreement

3.1. The Seller undertakes to transfer the Goods into the Buyer’s ownership, and the Buyer undertakes to pay for and accept the Goods in accordance with the terms of this Agreement.

3.2. The assortment, characteristics, price, and availability of the Goods are specified on the relevant pages of the Online Store.

3.3. Product photographs displayed on the website are for informational purposes. Minor differences in color or appearance may occur due to differences in color reproduction on various devices or due to the natural properties of the materials.

3.4. The Seller makes every reasonable effort to ensure that product information is kept up to date. If a technical error regarding availability, price, or product characteristics is identified, the Seller will notify the Buyer and offer possible solutions, including a refund of any amount paid.

4. Order Placement Procedure

4.1. The Buyer may place an Order in one of the following ways:

  • through the Online Store;
  • by email;
  • by telephone;
  • through the Seller’s official messengers or social media accounts listed on the website.

4.2. To place an Order, the Buyer provides the information required for processing and delivery, including:

  • first and last name;
  • telephone number;
  • email address, where necessary;
  • delivery address or branch/parcel locker number.

4.3. The Buyer is responsible for the accuracy and validity of the information provided.

4.4. After an Order is placed, the Seller begins processing it. If additional information is required, the Seller may contact the Buyer by telephone, email, or through the messenger used to place the Order.

4.5. If additional information is required to process the Order and the Seller is unable to contact the Buyer within a reasonable period, the Seller reserves the right to suspend processing or cancel the Order and notify the Buyer using the available contact details.

4.6. The sales agreement shall be deemed concluded from the moment the Seller confirms that the Order can be fulfilled and accepts it for processing.

5. Product Price and Payment Procedure

5.1. The price of each product is specified on the relevant page of the Online Store in Ukrainian hryvnias, unless otherwise stated.

5.2. The total Order amount consists of the price of the selected Goods and the delivery cost, where such delivery cost is payable by the Buyer.

5.3. The Buyer may pay for the Order using the payment methods available during checkout, including:

  • by bank card through a payment system;
  • by bank transfer to the Seller’s account;
  • cash on delivery via Nova Poshta, if this option is available for the relevant Order.

5.4. The Order is accepted for processing after successful confirmation of payment or confirmation of an Order placed with cash on delivery.

5.5. If payment is unsuccessful or is returned by the bank or payment system, the Seller will contact the Buyer to clarify the reason and agree on an alternative payment method.

5.6. If an obvious technical error regarding the price of a product is identified, the Seller will promptly notify the Buyer. If the Order has not yet been fulfilled, the Buyer may confirm the Order at the correct price or cancel it and receive a refund of any amount already paid.

6. Delivery of Goods

6.1. The procedure, methods, timeframes, and terms of delivery are specified on the “Payment and Delivery” page, which forms an integral part of this Agreement.

6.2. Delivery within Ukraine is carried out by Nova Poshta. International shipments are sent using the method specified on the “Payment and Delivery” page.

6.3. After the shipment has been handed over to the carrier, the Buyer receives a tracking number or other shipment tracking information.

6.4. Delivery timeframes after the shipment has been handed over to the carrier are determined by the relevant delivery service. The Seller is not responsible for delays caused by the carrier, customs authorities, or other circumstances arising after the shipment has been handed over.

6.5. The Buyer must check the integrity of the packaging, completeness of the Order, and external condition of the Goods upon receipt. If any damage is identified, the Buyer is advised to document it together with a representative of the delivery service and notify the Seller without delay.

6.6. If the Order is returned to the Seller because it was not collected by the Buyer or for other reasons beyond the Seller’s control, reshipment shall be made by agreement between the Parties and at the Buyer’s expense.

7. Returns

7.1. Returns and exchanges are carried out in accordance with the Law of Ukraine “On Consumer Protection” and the terms set out on the “Returns, Exchanges and Warranty” page, which forms an integral part of this Agreement.

7.2. The Buyer has the right to return or exchange Goods of proper quality in the cases and within the time limits provided by Ukrainian law, provided that the applicable requirements regarding their condition, completeness, and original appearance are met.

7.3. If the Buyer receives Goods that are damaged or incomplete, the Buyer must notify the Seller as soon as reasonably possible and, where possible, provide photographs or other materials confirming the nature of the damage.

8. Rights and Obligations of the Parties

8.1. The Seller undertakes to:

  • provide the Buyer with accurate information about the Goods, their characteristics, price, and purchase terms;
  • process and fulfil confirmed Orders in accordance with this Agreement;
  • deliver Goods corresponding to the Order placed by the Buyer;
  • ensure that the Buyer’s personal data is processed in accordance with Ukrainian law and the Privacy Policy.

8.2. The Seller has the right to:

  • request clarification of information required to place and fulfil an Order;
  • refuse to fulfil an Order in cases provided by law or by this Agreement;
  • change the assortment, characteristics, and prices of Goods before an Order is confirmed;
  • amend this Agreement by publishing a new version on the website.

8.3. The Buyer undertakes to:

  • provide accurate information required for placing the Order;
  • pay for the Order in a timely manner in accordance with the selected payment method;
  • accept the Goods in accordance with this Agreement;
  • check the completeness and external condition of the Goods upon receipt.

8.4. The Buyer has the right to:

  • receive complete and accurate information about the Goods before placing an Order;
  • contact the Seller regarding matters related to the fulfilment of an Order;
  • exercise the right to return Goods, receive warranty service, or request repairs in accordance with the terms published on the “Returns, Exchanges and Warranty” and “Payment and Delivery” pages.

9. Liability of the Parties

9.1. The Parties shall be liable for failure to perform or improper performance of their obligations in accordance with this Agreement and the applicable laws of Ukraine.

9.2. The Seller shall not be liable for inability to fulfil an Order or for delays in fulfilment where such inability or delay results from inaccurate or incomplete information provided by the Buyer and required for processing or delivering the Order.

9.3. After the Order has been handed over to the carrier, delivery timeframes are determined by the carrier. The Seller shall not be liable for delivery delays caused by the carrier or other circumstances arising after the shipment has been handed over; however, where possible, the Seller will assist the Buyer in resolving such matters.

9.4. The Buyer is responsible for the accuracy of the information provided when placing the Order.

9.5. The Parties shall endeavour to resolve any disputes arising in connection with the performance of this Agreement through negotiation. If an agreement cannot be reached, the dispute shall be resolved in accordance with the laws of Ukraine.

9.6. All shipments are handed over to the carrier with a declared value corresponding to the value of the Order. If a shipment is lost or damaged after being handed over to the carrier, including as a result of force majeure circumstances such as military action, missile strikes, natural disasters, or other extraordinary events, compensation shall be determined in accordance with Ukrainian law and the carrier’s applicable rules. The Seller will assist the Buyer in communicating with the carrier and provide the information necessary for the review of such a claim.

10. Force Majeure

10.1. The Parties shall be released from liability for full or partial failure to perform their obligations under this Agreement where such failure results from force majeure circumstances arising after the conclusion of the Agreement that the Parties could neither foresee nor prevent.

10.2. Such circumstances may include, in particular: natural disasters, fires, floods, earthquakes, military action, terrorist acts, strikes, epidemics, decisions of state authorities, disruptions to transport infrastructure, communications or electricity supply, as well as other extraordinary and unavoidable circumstances.

10.3. A Party unable to fulfil its obligations due to force majeure circumstances must notify the other Party within a reasonable period after it becomes possible to do so.

10.4. Once the force majeure circumstances cease to exist, the Parties shall resume performance of their obligations under this Agreement.

11. Processing of Personal Data

11.1. By placing an Order on the Website, the Buyer provides the Seller with personal data required to process, fulfil, and deliver the Order.

11.2. Personal data is processed in accordance with the requirements of Ukrainian law and the Privacy Policy published on the Website.

11.3. The Buyer’s personal data is used exclusively for:

  • placing and fulfilling Orders;
  • processing payments and delivering Goods;
  • providing information regarding the status of an Order;
  • fulfilling warranty obligations;
  • performing other obligations of the Seller provided by Ukrainian law.

11.4. The Seller does not disclose personal data to third parties except where such disclosure is necessary to fulfil an Order, including to delivery services and payment providers, or where required by Ukrainian law.

11.5. The Buyer has the right to contact the Seller regarding access to, clarification, correction, or deletion of their personal data in the cases and according to the procedure provided by Ukrainian law.

12. Final Provisions

12.1. This Agreement constitutes a public contract and public offer in accordance with Articles 633, 641, and 642 of the Civil Code of Ukraine and governs the relationship between the Seller and the Buyer in connection with placing Orders, payment, delivery, returns, and other terms related to the purchase of Goods through the Website.

12.2. Placing an Order on the Website constitutes the Buyer’s full and unconditional acceptance of the terms of this Agreement.

12.3. The relationship between the Seller and the Buyer shall be governed by the laws of Ukraine.

12.4. If any provision of this Agreement is found to be invalid or unenforceable, this shall not affect the validity of the remaining provisions.

12.5. The Seller has the right to amend this Agreement unilaterally by publishing a new version on the Website. Such amendments become effective from the moment of publication and apply to Orders placed after they take effect.

12.6. In matters not regulated by this Agreement, the Parties shall be governed by the applicable laws of Ukraine.
